DevvStream raises $6 million, moves to end $300 million credit

In connection with the proposed business combination transaction among XCF, DevvStream and Southern, XCF will prepare and file relevant materials with the Securities and Exchange Commission (the “SEC”), including a registration statement on Form S-4 that will contain preliminary proxy statements of DevvStream and XCF that also constitutes a prospectus of XCF (the “Proxy Statements/Prospectus”). A definitive proxy statement is expected to be mailed to stockholders of DevvStream and XCF as of a record date to be established for voting on the proposed business combination

transaction and other matters as described in the Proxy Statements/Prospectus.   1. I’m confused like why is this even happening and is it going to raise stock prices or just bury people. The SEC stuff always makes me nervous.

  2. Isn’t a Form S-4 basically the same thing as a loan agreement? Like if they “move credit” that means they’re borrowing from themselves right? Idk I just skimmed the headline.

  3. “End $300 million credit” sounds scary like they’re shutting down funding, but then it says they raised $6 million so maybe it’s good? Also why do they need Canadian filings too… money laundering vibes or just normal corp stuff, hard to tell.
