Getty Images Files for Chapter 11 Bankruptcy to Advance Private Restructuring

Getty Images has formally filed for Chapter 11 bankruptcy protection in the United States, taking a definitive step toward executing a private restructuring plan initially announced over a week prior. The legal filing represents a major financial reset for the prominent visual-content provider following the collapse of a planned merger with rival Shutterstock. That proposed combination had buckled under the weight of heavy debt obligations and mounting competitive pressures from the rapid rise of artificial intelligence-generated imagery.
In a filing submitted to the Delaware bankruptcy court, the company reported estimated assets and liabilities both falling within the range of $1 billion to $10 billion. Despite the bankruptcy proceedings, corporate leadership emphasized that day-to-day operations will continue without interruption. The company stated that it will operate in the ordinary course throughout the restructuring process, ensuring that content contributors, commercial partners, customers, employees, and vendors experience no operational impact.
The formalization of the restructuring follows an earlier announcement outlining the company’s shift toward becoming a privately held entity. Under the terms of the reorganization plan, affiliates of the Getty family alongside Koch Equity Development will assume 100% ownership of the enterprise once the restructuring concludes. To facilitate this transition, Getty Images launched a formal solicitation process on Wednesday to secure the necessary approvals for the reorganization scheme.
Financial backing for the restructuring includes a substantial commitment from Koch Equity Development, which has pledged up to $533 million in new equity. Furthermore, the company specified that up to $143 million of financing provided directly by Koch Equity Development will be utilized to support the ongoing restructuring process. Company executives anticipate that the entire reorganization will reach completion before the end of the year.
